Terms of Service and Scope of Work
1.Who this agreement is between
This agreement is between Jaime Andres Garces Lezama (ABN 26 299 594 232), an Australian sole trader trading as Townline Pages ("I", "me", "my"), and the business named as the client on the Order Form ("you", "your"), together the "parties".
2.The agreement and which document controls
The agreement is made up of the Order Form you accept and these Terms. If there are any inconsistencies between them, the following order of precedence applies, to the extent of the inconsistency:
- (a) any variation agreed in writing by the parties after the date of the Order Form, to the extent of that variation;
- (b) the Order Form, but only in relation to the order-specific details it records (your business details, the four pages, the price and dates);
- (c) these Terms, in relation to all other matters.
Pre-contract communications (including sales emails and proposals), the free sample page, and operational messages (payment confirmation, welcome and access emails, launch confirmation, reminders and check-ins) do not form part of the agreement and do not constitute a variation.
This agreement may only be varied upon written agreement by both parties. An exchange of emails is sufficient for a variation to the extent it expressly states the correspondence is to vary the agreement between the parties. This includes for any add-on services.
3.What you get
The Local Service Area Page Pack is four pages in total:
- Page 1: a service page for your main town. This is the free sample page you have already seen, updated with your final details. It is not an extra page.
- Page 2: a service page for one nearby town you genuinely serve.
- Page 3: an About page for your business.
- Page 4: a Contact / Request a Quote page.
The pack also includes: page copy written for your business; on-page SEO (page titles, descriptions and headings); links between the four pages; LocalBusiness structured data where your website platform and plan allow custom code (never with invented ratings or reviews); publishing the pages to your existing website; launch checks; and one revision round (section 9).
If your platform or plan does not allow structured data, I tell you before I start and publish the pages without it.
This is a one-time service. There is no ongoing service or commitment after completion.
4.What is not included
Unless the Order Form says otherwise: guaranteed rankings, traffic or leads; Google Business Profile work; backlinks or citations; review generation; website redesign, hosting or maintenance; paid advertising; ongoing SEO or content; photography; custom functionality; extra pages; and legal or licensing review of your business claims. I can quote separately for extra work.
5.The free sample page
Before you buy, I may show you a sample page hosted on my own website. It is a preview only. You have no rights in it, and no obligation to buy, until you pay.
If you buy, the sample becomes Page 1 and is published on your website. Within 7 days of launch I remove my hosted copy or redirect it to your live page.
If you do not buy, I remove the sample within 60 days of my last follow-up, or sooner if you ask.
6.What I need from you
You provide the information, approvals and website access reasonably needed for the work, including your services, service areas, business history, contact details and, where your state issues one, your contractor license number.
You are responsible for the accuracy of everything you supply or approve, including claims about your licenses, insurance, warranties, experience, pricing and service areas. I rely on what you provide and do not verify it. I may decline or reword any claim or instruction I reasonably believe is inaccurate, misleading, unlawful or against search-engine guidelines.
You confirm you have the authority to order this work, to supply your materials and to give me access to your website.
7.Website access
I never ask for your password. You give me access through your platform's own invite (for example, WordPress Editor, Wix Website Manager or Squarespace Website Editor). If your platform has no suitable invite, I deliver the pages as files for you or your web person to publish.
I only create or edit the four pages and the links needed to connect them. I am not responsible for any changes made to the pages or your website by you or any third party after launch. You keep ownership of your website, domain, hosting and accounts, and responsibility for your own backups. Please remove my access once the revision window closes; I will remind you.
8.Timing
My target is to publish your pages within one Business Day after all of these are complete: your payment has cleared; I have the information in section 6; I have working website access; and any approvals I have asked for are in. The target covers publishing only, not search-engine crawling, indexing or ranking.
"Business Day" means a weekday that is not a public holiday in New South Wales, Australia.
If, within 30 days after your payment clears into the nominated account, I have not received the information required under section 6 or working website access, I may complete the four pages using the information then available to me and deliver them to you as files ready to publish, with any missing details clearly identified. On delivery of those files, the order is complete. I will give you at least 7 days' notice by email before doing so.
9.Revision and completion
You get one revision round. Send one consolidated list of changes within 7 days after my launch confirmation. A revision is a reasonable correction or adjustment to the four pages within the original scope. New pages, a different town, new services or a change of direction are not revisions and can be quoted separately.
The order is complete when I have made your revision, or when the 7 days pass without a revision request.
10.Rankings and results
I do not guarantee search rankings, Google Maps position, indexing or its timing, traffic, calls, leads, sales or any other result. Search engines and other platforms are outside my control and change without notice. Anything I say about possible results is not a promise.
11.Price and payment
The price is US$497 one-time unless the Order Form states another price. You pay in full, in advance, by the invoice or payment link I send with the Order Form. Work starts once payment has cleared. Any bank, transfer or payment-processing fees charged to you are your responsibility. All amounts are stated in US dollars and include any relevant Goods and Services Tax that may apply (if applicable). You are responsible for any taxes, duties or levies imposed in your own jurisdiction in connection with this agreement.
Payment is treated as cleared when the funds are received in my nominated account. If you accept the Order Form by reply and your payment has not cleared within 14 days after the date of the Order Form, I may terminate this agreement by notice to you.
12.Cancellation, suspension, termination and refunds
- Before I start Pages 2 to 4: you can cancel for a full refund.
- If I cannot deliver: you get a refund for the part I cannot deliver.
- If your platform prevents publishing: I deliver the affected pages as files, or refund the publishing part, whichever you prefer.
- After completion: no refund for a change of mind.
- If a payment is reversed or charged back: ownership under section 13 does not pass (or, if it has already passed, the reassignment obligation in section 13 applies), and you must immediately stop using the pages.
Suspension: I may suspend the work by notice to you while any payment is disputed, reversed or charged back, or if you require me to publish material I am entitled to decline under section 6. The timeframes in section 8 are extended by the period of any suspension.
Termination for breach: either party may terminate this agreement by notice to the other if the other commits a material breach of this agreement and fails to remedy it within 7 days after receiving notice requiring it to be remedied.
Effect of termination: if this agreement is terminated before completion, you must promptly remove my access to your website. If termination occurs because of my breach, the refund provisions above apply. If termination occurs because of your breach or non-payment, no refund is payable for work already performed, and I will refund any unearned portion of fees paid. Section 13 applies to the pages delivered and paid for before termination. Termination does not affect any rights or remedies that accrued before termination, and sections 10 and 12 to 20 survive termination.
13.Ownership
Your logos, photos and other materials stay yours. You let me use them only to do this work.
With effect from the date your payment in full clears, I assign to you all right, title and interest that I hold in the page copy and other material I create specifically for you under this agreement. If any payment is later reversed or charged back, you must, on request, assign those rights back to me and do anything reasonably required to give effect to that assignment. I retain ownership of my pre-existing templates, code, tools, processes and know-how.
Subject to payment in full, I grant you a perpetual, worldwide, royalty-free, non-exclusive license to use, reproduce and adapt any of them that are incorporated in your pages, for the purpose of using those pages.
I use software tools, including generative AI tools, in preparing the pages, and I review and edit all material before it is published. I do not warrant that copyright subsists in every part of the pages; in particular, material generated by AI with limited human authorship may not be protected by copyright. To the extent permitted by law, I consent to you, and any person authorised by you, doing or omitting to do any act in relation to the pages that would otherwise infringe my moral rights, including editing, adapting or publishing the pages without attributing me as author.
I only show your pages in my own portfolio if you opt in on the Order Form.
14.Confidentiality and privacy
We each keep the other's non-public business information confidential and use it only for this agreement, unless the law requires disclosure. I collect only the business and contact information needed for the work and handle it as described in my privacy policy at jaimeagarces.com/privacy.
15.Limits on liability
To the maximum extent permitted by law:
- (a) my total aggregate liability arising out of or in connection with this agreement, whether in contract, tort (including negligence), under statute or otherwise, is limited to the total fees you have actually paid under the Order Form;
- (b) I am not liable for any loss of profits, revenue, leads or business opportunities, loss of search rankings or traffic, or any indirect or consequential loss, however arising; and
- (c) where the law permits it, my liability for a failure to comply with a consumer guarantee is limited, at my option, to supplying the services again or paying the cost of having the services supplied again.
Nothing in this section limits or excludes liability for fraud.
16.Your materials and indemnity
You indemnify me against all loss, liability, damages and reasonable costs (including reasonable legal costs) that I suffer or incur arising from any claim, demand or action by a third party or regulator in connection with materials or claims you supplied or approved, or your instructions, except to the extent caused or contributed to by my breach of this agreement or my negligence.
I will notify you promptly of any such claim and will not settle it without first consulting you.
17.Events outside my control
I am not responsible for delays caused by events outside my reasonable control, including outages or changes at your website platform, host, plugins, search engines or internet providers. I resume the work as soon as reasonably possible.
18.Governing law and disputes
This agreement is governed by the laws of New South Wales, Australia. Each of us submits to the exclusive jurisdiction of the courts exercising jurisdiction in New South Wales and the courts competent to hear appeals from them.
Before commencing proceedings (other than for urgent interlocutory relief), a party must give the other written notice of the dispute, and both parties must attempt in good faith to resolve it within 14 days after that notice.
To the extent permitted by the applicable court rules, documents in any proceedings may be served by email to the addresses for notices in section 20, in addition to any other method permitted by law.
19.Rights the law gives you
Nothing in this agreement excludes, restricts or modifies any right or remedy you have under a law that cannot be excluded, restricted or modified.
20.General
These Terms and your Order Form are the whole agreement for your order (as varied in accordance with section 2). If any part is unenforceable, the rest still applies. Not enforcing a right straight away does not waive it. I work as an independent contractor, not as your employee, partner or agent.
Notices under this agreement must be in writing and may be given by email: to me at jaime@jaimeagarces.com, and to you at the email address in the Order Form (or another address notified in writing). An email notice is taken to be received when sent, unless the sender receives an automated message that it was not delivered.
